This Certificate of Discontinued Use ("CDU") is by and between Spirent Communications Incorporated (“Spirent”) and

,hereafter referred to as the "Customer". This CDU is effective as of the date signed below ("Effective Date"), or, if no signature date is indicated below, then the Effective Date shall be the date that Spirent receives this CDU acknowledged by                   

Whereas, prior to the Effective Date of this CDU, the "Customer" obtained the right to use the licenses granted pursuant to the terms of the associated Purchase Order(s), which Software is listed below:

 

 

The "Customer" agrees to cease using the above-referenced Software as set forth herein. 

Upon receipt of this signed CDU, Spirent will deliver a replacement License File for the new MAC ID or VM_UUID for the latest Software version to which the "Customer" is entitled based on current Software Support status.

The "Customer" hereby acknowledges and certifies that upon receipt of replacement License File, the "Customer" shall:

1. Remove and permanently delete all copies of the license file(s) associated with the Current MAC ID or VM_UUID for the software identified above.

2. Cease using the Software activated via the aforementioned license file(s).

3. Not possess or use any unauthorized copies of the Software.

 

The "Customer" hereby certifies that the above information is true and correct.  All capitalized terms not otherwise defined herein shall have the same meaning as assigned to them in the Agreement.
