  • Owners & Management

  • In the next section, we are going to collect some information about the owners of the business (called "Members") and the persons who will run the business (called "Managers").  There are two types of LLC management structures: member-managed LLC and manager-managed LLC.

     

    Member-Managed LLC

    A member-managed LLC may consist of single or multiple members. Each member has the authority to make decisions to bind the LLC. This structure provides each member with the responsibility to play an active role in the management and operation of the business.

    With this structure, all members want to be active participants in operational decisions.

     

    Manager-Managed LLC 

    A manager-managed LLC is where one individual is selected as the LLC manager. The LLC manager has the authority to manage the company and may be a owner or a non-owner(externally contracted). 

    Unlike in a member-managed LLC, owners who are not managers cannot make decisions to unilaterally bind the company. Owners are also unable to interfere with the LLC manager's operational decisions. However, owners can make structural decisions and changes to the company. For example, Owners can replace the manager or change the company to a member-managed structure. 

    A manager-managed LLC may be suitable if all or some members do not want to be active participants in operational decisions.

  • GENERAL INFORMATION

    Please answer the general information below.
  • Resident Agent

    Every LLC that is registered and/or does business in a state is required to identify a business or individual designated to receive legal documents on behalf of the business.  This person/business is known as a "registered agent". This is typically one of the owners, but it can also be a thrid party if none of the owners live in the state of registration. 

    NOTE:  The Registered agent MUST have a phisical mailing address in each state of registration and cannot be a PO Box.

  • Employer Identification Number

    Once we set up your LLC, we will also obtain a new employer identification number (EIN) from the IRS on your behalf.  In order to do this, we need the Name, Address and social security number of the person who will be the tax agent for the LLC.

    The Tax agent can be a an individual, a trust, estate, partnership, association, company or corporation that has a valid Social Security Number or existing EIN.

    If no one associated with your company has a US Social Security Number, we can still obtain your EIN, but it will take longer.

    NOTE

    If you are a single member LLC, without employees, you can use your social security number for the LLC.  However, to protect your social security number, we recomend that you let us obtain one for you.
