    MEMBERSHIP INFORMATION AND AGREEMENT
  • A “Member” is defined as any company or entity that has been accepted into one of SCAN’s established categories, has agreed to comply with the Bylaws and all applicable SCAN policies, and remains in good standing through the payment of dues (if applicable) and adherence to SCAN’s requirements. 

    There are four classes of membership:

    1. Executive CTPAT Importer Members: CTPAT Members engaged in the direct importation of goods across borders, and with a particular interest in advancing SCAN’s stated purpose and mission, shall be eligible to be an Executive CTPAT Member.
    2. Executive Global AEO Importer Members: Global Importer Members of an Authorized Economic Operator (AEO) program under a Mutual Recognition Arrangement with the Unites States or AEO importers operating in a country under a Memorandum of Understanding with the SCAN Association, engaged in the direct importation of goods across borders, and with a particular interest in advancing SCAN’s stated purpose and mission, shall be eligible to be an Executive Global AEO Importer Member.
    3. Associate Manufacturer Member: For SCAN purposes, a manufacturer is any business entity that performs the primary activities of producing, fabricating, assembling, or otherwise transforming raw materials, components, or parts into partial or finished goods and whose manufactured goods are intended for export outside the country of production.
    4. Associate Transportation Member: Any entity or company engaged in the transportation or storage of goods with a particular interest in advancing SCAN's mission shall be eligible to be an Associate Transportation Member of SCAN.

    MEMBERSHIP INFORMATION AND AGREEMENT
  • (“the Applicant”) desires to become a member of Suppler Compliance Audit Network, Inc. (“SCAN”); and WHEREAS, SCAN is willing to admit the Applicant as a member of SCAN on the condition that the Applicant agrees to be bound by the terms and conditions contained herein. Now Therefore, the Applicant in consideration of the covenants contained herein and intending to be legally bound, hereby agrees to the following:

    1. Requirements: The Applicant hereby agrees: (i) to pay such dues and assessments as may be set from time to time by the Board of Directors of SCAN in accordance with the Certificate of Incorporation and the Bylaws of SCAN, as the same may be amended, (see attached Fee Chart as Exhibit A); and (ii) to adhere to the Certificate of Incorporation and Bylaws of SCAN, as the same may be amended, and all policies and decisions of SCAN’s Board of Directors. The Applicant further acknowledges receipt of all of SCAN’s policies and has read and agrees to be bound by their terms and conditions, including any properly authorized changes made thereto after the date of this Agreement.

    2. Confidentiality: Applicant understands that as a member of SCAN and its various committees and work groups, Applicant and its employee representatives may be given access to certain Confidential Information. “Confidential Information” as used herein includes all information directly or indirectly disclosed to Applicant and its employee representatives, or observed or developed by Applicant and its employee representatives, whether before or after the date hereof, as a consequence of or in connection with Applicant’s membership or participation on SCAN’s committees and work groups, and which information is not generally known by or available to the public.

    Applicant agrees that it shall not disclose any Confidential Information to any third party, or use or disclose it for any unauthorized purpose, without the express consent of SCAN. Applicant agrees that it will adopt reasonable precautions to guard against unauthorized release of such information and Applicant shall not reproduce, copy, transmit, distribute, retain or remove any such Confidential Information at any time without the express consent of SCAN, other than as may be required to accomplish the purposes for which it was transferred. After completing use of the Confidential Information or at the conclusion of the work of the committee or work group upon which Applicant and its employee representatives serve, whichever occurs first, upon SCAN’s request, Applicant shall destroy all copies of the Confidential Information in whatever form it exists.

    Applicant understands that the obligation not to misuse or disclose Confidential Information shall survive the termination of Applicant’s tenure as a member of SCAN and its committees and work groups, irrespective of the time, manner or cause of the termination, for so long as the information remains Confidential Information. Applicant further acknowledges that it may be required to sign a separate Confidentiality Agreement in connection with Applicant’s participation in SCAN’s planned audit sharing program.

    3. Intellectual Property: Applicant hereby assigns all of its right, title and interest in and to any copyrights, trademarks, patents, ideas, processes, know-how, methodologies, concepts, designs, skills, tools, techniques, expressions, data, inventions, discoveries, developments, enhancements, programs, any intellectual property and any materials created by Applicant and its employee representatives, whether before or after the date hereof, in connection with Applicant’s and its employee representatives’ work as a member of SCAN’s board, committees and work groups. Notwithstanding anything to the contrary herein, this assignment does not apply to any preexisting intellectual property (“Preexisting Intellectual Property”) that Applicant developed completely independently of SCAN and its committees and work groups, and without use of any Confidential Information. For any Pre-Existing Intellectual Property owned by Applicant that is incorporated into SCAN’s board, committee or work group work product before or after the date hereof, Applicant grants SCAN a perpetual, irrevocable, worldwide, transferable, sub licensable, royalty-free license to use, produce, display and exploit any such Preexisting Intellectual Property. Applicant agrees, warrants and represents that it shall not contribute Preexisting Intellectual Property owned by a third party unless it secures on SCAN’s behalf a perpetual and irrevocable license for SCAN to use such Preexisting Intellectual Property. Subject to Section 2, SCAN hereby grants to Applicant a perpetual, irrevocable, worldwide, transferable, sub-licensable, royalty-free license to use, produce, display and exploit any copyrights, trademarks, patents, ideas, processes, know-how, methodologies, concepts, designs, skills, tools, techniques, expressions, data, inventions, discoveries, developments, enhancements, programs, any intellectual property and any materials created by Applicant and its employee representatives, whether before or after the date hereof, in connection with Applicant’s and its employee representatives’ work as a member of SCAN’s committees and work groups.


    4. Survival: Notwithstanding anything to the contrary, Sections 2 and 3 of the Membership Agreement and those provisions of the Bylaws and all policies of SCAN which are intended to survive termination of membership, shall survive the termination of this Membership Agreement.

    5. Governing Law: This Membership Agreement shall be governed by the laws of the State of Delaware.

    6. Counterparts: To facilitate execution, this Membership Agreement may be executed in as many counterparts as may be required. All counterparts shall collectively constitute a single agreement. This Membership Agreement may be executed through delivery of duly executed signature pages by facsimile or electronic transmission, with the same effect as originals.
