• Communications Contact Form

  • According to Section 132 of the Delaware General Business Code, as amended, all Commercial Registered Agents (representing over fifty entities) in the State of Delaware are required to maintain information regarding a communications contact for every entity they represent as registered agent. Information is to be obtained on a regular basis so it remains current and must include key contact information for each company including the name, business address, telephone number and email address of an officer, director, LLC member, employee or designated agent of the company.

  • Similarly, according to Title 6, Chapter 18 of the Delaware Limited Liability Company Act, a DE LLC shall maintain a current record that identifies the name and last known business, residence or mailing address of each member and manager. It also requires the LLC to provide, upon request, the communications contact with the name, business address and business telephone number of a natural person who has access to that current record. Please be sure the person you identify on our form has access to this complete record! Therefore, we need to make sure that we have updated contact information for everyone to ensure compliance with these laws.

  • Information regarding the Corporate Transparency Act:

    New federal legislation goes into effect January 1, 2024 requiring most of our clients to make a secondary filing (similar to an Annual Report) with the Financial Crimes Enforcement Network (FinCen) within one year. WATCH FOR DETAILS to avoid a hefty fine for non-compliance!

  • Agent authorized to receive communication from Registered Agent: Effective 1/1/07, required under the provisions of Section 132 of the General Corporation Law of the State of Delaware et al for all entities formed or qualified in the state. Failure to provide this information can result in our resignation as registered agent pursuant to Section 136 et al. Designated representative of the LLC: Effective 8/1/14, Title 6, Chapter 18 of the Delaware Limited Liability Company Act, a DE LLC shall maintain a current record that identifies the name and last known business, residence or mailing address of EACH member and manager. Listed below is the communications contact who has access to that current record.
