      • EXHIBITOR CONTRACT

        This Exhibit Space Contract for the WOMEN OF LIGHT REGIONAL EVENT in Manhattan, Kansas (WOL) is subject to the terms and conditions set forth below. This contract is not valid until signed by both parties.

        EXHIBIT SPACE ASSIGNMENTS: Exhibitor agrees to complete and submit the WOL Exhibitor Application. Full payment must be receive prior to September 13, 2019. Table-top Booths will be assigned on a first-come basis as application and payment is received. Only one booth per company will be allowed unless otherwise agreed upon.

        EXHIBIT: WOL reserves the right to judge the appropriateness of the display, products, services, and literature promoted by Exhibitor and to prohibit the sale or display of any product or service deemed inappropriate by WOL. Exhibitor agrees not to claim or represent, either orally or in writing, that any product or service exhibited at or during the Event is endorsed or approved by WOL.

        EXHIBIT BOOTHS: Exhibitor agrees to be completely set up prior to the Event opening and staff the booth during the advertised “Marketplace” breaks. Exhibitor shall not change any drapery without the permission of WOL. Exhibitor shall not use pop-up shades or tents per Kansas State University and fire regulations. Exhibitor shall not display, advertise, sell, or otherwise promote any product or service outside the confines of the assigned booth space in the Marketplace area or outside of the exhibit area during the duration of the Event.

        Exhibitor shall not dismantle booth prior to 5:30 PM, Saturday, September 14, 2019. Exhibitor agrees to dismantle booth as soon as possible after the final breakout session of WOL and not later than the final posted tear down and move out time. Any items left in the booth will be considered abandoned.

        MARKETING: Exhibitor agrees to market participation in the WOL event no less than six weeks from the event date of your preferred marketing outlet, and at least 3 times. This may be, and is not limited to social media (Instagram, Twitter, Facebook), website, or storefront.

        FIRE REGULATIONS: Exhibitor agrees to adhere to all regulations and fire codes as dictated by the Kansas State Student Union Building and the Manhattan Fire Department.

        INDEMNIFICATIONS: Exhibitor agrees to hold WOL, its officers, agents, contractors, and volunteers free and harmless of and from, and defend and indemnify them against all liability, loss, damage, expense, costs (including without limitation attorney fees, costs, and other fees of litigation) or every nature, including but not limited to any third party claim, arising out of any alleged negligent act or omission of the Exhibitor, its agents, officers, employees, representatives, servants, invitees, patrons, or guests.

        Exhibitor further agrees to hold WOL, its officers, agents, contractors, and volunteers free and harmless of and from any and all liability, loss, damage, expense, costs (including without limitation costs and fees of litigation) of every nature arising out of any alleged loss or damage of any and all exhibit materials supplied by Exhibitor.

        INSURANCE: Exhibitor must maintain automobile liability insurance on any vehicle operated on the premises, which policy must provide coverage of a minimum of $250,000 per person per accident and $500,000 aggregate per accident.

        Exhibitor must maintain insurance to cover against any and all damage and loss to exhibit materials supplied by Exhibitor.

        CANCELLATION: Cancellations received in writing on or before July 30, 2019 will receive a 50% refund. No refunds will be issued after July 31, 2019.

        SECURITY: WOL assumes no responsibility for lost, stolen, or damaged property of the Exhibitor.

        If WOL should be prevented from conducting the event for any cause beyond its control, including, but not limited to, strike, fire, civil disobedience, inclement weather, lock outs, acts of God, terrorism or terrorist acts whether actual or threatened, acts of a public enemy, epidemics or quarantines, or other causes, acts, or events similar to those enumerated, WOL will refund the Exhibitor the amount of the rental paid and WOL shall have no further obligations or liability to the Exhibitor.
